Terms of Use

1. What Hint It Is

Hint It is a private feedback platform. It is not a public review service. Consumers use Hint It to leave private, anonymous feedback about local businesses. That feedback is never displayed to the general public.

A Hint is a private message, along with up to five optional photos, that a consumer submits about a specific business location. Hints are not attributed to the consumer by name. The business that receives a Hint will not see your name or any identifier that links the Hint to you personally.

A Business Listing is a listing of a local business displayed on the Service so that consumers can drop Hints about it. Hint It seeds Business Listings from two sources: (1) licensed public data sources, including Foursquare OS Places, Overture, and OpenStreetMap; and (2) Location Suggestions submitted by users. A Location Suggestion is a user submission that proposes a new place for inclusion on the Service, including the place's name, address, and other details, together with any photos of the place the user chooses to submit. User-suggested places that are added to the Service become Business Listings. A business's presence on the Service does not mean it has signed up for Hint It, agreed to use the Service, or has any relationship with Hint It.

Claiming is the process by which an authorized representative of a business verifies ownership of a Business Listing and gains access to the business dashboard. Once Claiming is complete, the Business can read Hints submitted about its listing and respond to them. A "Business" in these Terms means a business entity or individual that has completed Claiming and uses the business-facing features of the Service.

The Giveaway is the monthly sweepstakes that Hint It offers to consumers who drop qualifying Hints. The Giveaway is governed by the separate Giveaway Rules, which are incorporated into these Terms by reference and available on the Website.

Hint It does not write, edit, or endorse the content of Hints. All Hint content is the sole responsibility of the consumer who submitted it.

2. Who Can Use Hint It

You must be at least 18 years old. By using the Service, you confirm that you meet this requirement and that you have provided accurate information. The Service is void where prohibited by law.

3. Your Account

Hint It uses a device-based account model. You do not create a public profile. One active account per device. Provide accurate information when you set up or update your account, and keep it current.

You are responsible for the security of your account. If you believe your account has been compromised or that unauthorized access has occurred, let us know promptly — contact support.

4. License to Use the Service

Subject to these Terms, Hint It grants you a personal, non-exclusive, non-assignable, non-transferable, revocable license to access and use the Service, including the Mobile App, for your personal, non-commercial purposes.

You may not copy, modify, distribute, sell, or sublicense any part of the Service. You may not decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Mobile App or any other software component of the Service.

5. What You May Not Do

You agree that you will not:

1. Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
2. Defame, harass, abuse, threaten, stalk, or otherwise violate the legal rights of any person.
3. Publish or transmit any content that is harmful, offensive, obscene, abusive, invasive of another's privacy, or objectionable.
4. Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
5. Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of such networks.
6. Use any robot, spider, scraper, or other automated means to access the Service or to collect or harvest data from the Service, without the prior written permission of Hint It.
7. Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
8. Use the Service to transmit any virus, malware, or other destructive code.
9. Remove, alter, or obscure any proprietary notice (including any copyright or trademark notice) of Hint It or its affiliates, licensors, suppliers, or distributors.
10. Submit photos of identifiable individuals without their consent in a context that could expose them to harassment, embarrassment, or reputational harm.
11. Include in a Hint another person's personal information, such as a home address or phone number, without that person's consent.
12. Submit false factual claims about a named individual.
13. Submit Hints by automated means or bots.
14. Submit a Location Suggestion that is false, misleading, or fabricated, including listing a private residence as a business or creating a fake or non-existent place.
15. Submit a duplicate Location Suggestion for a place that is already listed on the Service.
16. Submit a Location Suggestion with the intent to defame, harass, or harm a business or individual, including creating a listing under a real business's name that misrepresents it.

6. Fees

The Service is free for consumers. Dropping a Hint and entering the Giveaway will never cost you anything. Business subscription fees are governed by the separate Business Terms and do not apply to you as a consumer.

Hint It reserves the right to introduce fees for new consumer features in the future. You will receive advance notice before any currently free feature becomes paid. You remain responsible for any fees your carrier charges for data or SMS in connection with your use of the Service.

7. Your Content: What You License to Us

This Section covers two distinct types of content you may submit and the different licenses that apply to each.

7A. Hints

Your Hints are yours. When you submit one, you give us a limited license to do specific things with it. Your Hints are processed by automated systems to generate insights, including sentiment analysis, aggregate trends, and personalized reminders. This processing is part of how the Service works. We do not use your Hints to advertise the Service, and we do not share them with third parties for their own commercial purposes.

By submitting a Hint (including any photos attached to it), you grant Hint It, Inc. a non-exclusive, royalty-free license to:

1. Store, process, and transmit your Hint, including any attached photos, to the Business associated with the listing you submitted the Hint about, after that Business has completed Claiming; and
2. Display your Hint, including any attached photos, back to you.

This license does not include the right to modify, adapt, prepare derivative works of, publicly display, or distribute your Hint for any other purpose, including promoting the Service. Hint It will not use your name or likeness in advertising without your separate explicit consent.

Hint photos are private. They are shown only to you and, after Claiming, to the Business you submitted the Hint about. They are not displayed publicly on the Business Listing or to other users of the Service.

If you delete your account, Hint It will delete your personal information within 30 days. However, Hint content (the text of your Hints, not your personal identity) may persist in de-identified form in a Business's dashboard after your account is deleted.

Hint photo delivery and metadata. Hint photos are delivered to the Business as you submitted them.

1. By submitting Hint photos, you warrant that you have the right to submit them and that they do not infringe any third party's copyright, right of publicity, or right of privacy.
2. Your Hint photos may include logos, signage, trade dress, or images of people. Hint It does not review Hint photos for such content before delivering them to a Business that has claimed its listing.
3. Hint photos are stored as you submitted them. When a Business that has claimed its listing receives the photo, it receives the full image file as your device stored it, including any metadata (such as location data). If your device embeds location data or other metadata in photos, that data travels with the photo. We do not strip it.

You agree not to submit any Hint or Hint photo that:

1. Is false, misleading, inaccurate, or fraudulent.
2. Infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right of any third party.
3. Violates any law, statute, or regulation, or that encourages conduct that would violate any law or create civil liability.
4. Is threatening, harassing, defamatory, obscene, or invades another person's privacy.
5. Contains or links to malware, spyware, adware, or any other harmful code.
6. Constitutes unsolicited commercial communications (spam).

7B. Location Suggestions

When you submit a Location Suggestion (the place details and any photos of the place), you give us a broader license, because location photos may appear publicly on the Business Listing to other users of the Service.

By submitting a Location Suggestion, you grant Hint It, Inc. a non-exclusive, royalty-free license to:

1. Store, reproduce, and publicly display the place details and any location photos you submit as part of the Location Suggestion on the associated Business Listing within the Service, to other users of the Service; and
2. Retain and continue to display that content for as long as it remains on the Service.

This license does not include the right to use your Location Suggestion content to advertise the Service outside the Service, or to sell or sublicense your content to third parties for their own commercial purposes.

Location Suggestion warranties. By submitting a Location Suggestion, you warrant that:

1. You created the content in the Location Suggestion, or you have all necessary rights to submit it and to grant the license above.
2. The place details are, to the best of your knowledge, accurate and are not false, misleading, or fabricated.
3. The location photos do not infringe any third party's copyright, trademark, trade dress, right of publicity, or right of privacy.
4. You took the location photos yourself, or you have permission from the photographer or rights holder to submit them under these terms.
5. The location photos do not depict identifiable individuals in a way that violates their rights or that would subject them to harassment, embarrassment, or reputational harm.

Location photo metadata. Location photos are stored as you submitted them. We do not strip metadata (including location data embedded by your device) from location photos. That metadata may travel with the photo as it is displayed on the Service.

You agree not to submit any Location Suggestion that:

1. Is false, misleading, fabricated, or duplicates an existing listing.
2. Lists a private residence as a business or misrepresents a non-commercial place as a business.
3. Is intended to defame, harass, or harm a business, individual, or organization.
4. Infringes any third party's copyright, trademark, trade dress, right of publicity, or right of privacy.
5. Violates any law, statute, or regulation.

7C. Moderation (applies to all user content)

Hint It reserves the right to review, screen, refuse to post, decline to deliver, or remove any Hint, Hint photo, Location Suggestion, or location photo at any time, for moderation purposes, including where Hint It believes, in its sole judgment, that the content violates these Terms or is otherwise objectionable. Hint It is not obligated to monitor or review submitted content.

8. Business Listings and Third-Party Data

Hint It lists businesses from two sources: licensed public data sources and Location Suggestions submitted by users of the Service. Being listed on the Service does not mean a business has signed up for Hint It, approved of the Service, or has any relationship with Hint It.

These places are listed independently. They're not affiliated with, sponsored by, or endorsed by Hint.

Hint It may display a business's name and, where available, logo on its Business Listing solely to identify that business. This display is for identification purposes only and does not imply any endorsement, sponsorship, or affiliation. Hint It displays third-party business names and logos under nominative fair use: we use no more than is necessary to identify the business.

User-submitted location photos may appear on a Business Listing. These photos are submitted by users of the Service under the license and warranties in Section 7B. Hint It does not independently verify the accuracy of user-submitted listing details or location photos.

Any business can request removal of its listing by contacting us about copyright. Hint It will process removal requests within 5 business days. Requests involving widely recognized or nationally famous marks will be prioritized for review within one business day.

A business may also request correction or removal of inaccurate user-submitted listing details or location photos by contacting us about copyright. Hint It will review such requests and take appropriate action, which may include removing or correcting the relevant content.

Hint It seeds Business Listings from licensed public databases, including Foursquare OS Places, Overture, and OpenStreetMap. We do not use the Google Places API to build our listings database.

9. The Giveaway

The monthly Giveaway is optional. You can drop Hints without entering it. The Giveaway is governed by the separate Giveaway Rules, which are incorporated into these Terms by reference. If anything in these Terms conflicts with the Giveaway Rules about the Giveaway, the Giveaway Rules control.

The phone number you provide to enter the Giveaway is used only for Giveaway purposes, including notifying winners. It is not shared with any Business about which you have submitted a Hint.

10. Copyright Infringement (DMCA)

Hint It respects the intellectual property rights of others and expects users of the Service to do the same. It is Hint It's policy to terminate the accounts of users who are repeat infringers of copyright.

If you believe that any content on the Service infringes your copyright, you may submit a notice of claimed infringement to Hint It's designated agent at:

Your notice must include all of the following:

(a) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.

(b) A description of the copyrighted work that you claim has been infringed.

(c) A description of where the material that you claim is infringing is located on the Service, with enough detail for Hint It to locate it.

(d) Your address, telephone number, and email address.

(e) A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law.

(f) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

If you believe that content you submitted was removed or disabled by mistake or misidentification, you may submit a counter-notice to Hint It's designated agent at the address above. Your counter-notice must include: (1) your physical or electronic signature; (2) identification of the content that was removed or disabled and the location where it appeared before removal; (3) a statement under penalty of perjury that you have a good-faith belief the content was removed or disabled as a result of mistake or misidentification; and (4) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, the U.S. District Court for the District of Delaware), and that you will accept service of process from the person who provided the original infringement notice or that person's agent.

Hint It will terminate the accounts of users who are determined, in Hint It's sole discretion, to be repeat infringers of copyright.

11. Trademarks and Third-Party Marks

11.1 The Hint It name, the Hint It logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Hint It, Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of Hint It. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

11.2 You acknowledge that certain content, including but not limited to logos, trademarks, service marks, trade names, trade dress, and copyrighted material ("Third-Party Marks"), may appear on the Service. All Third-Party Marks remain the property of their respective owners. You agree that you will not use any Third-Party Marks without the prior written consent of the applicable owner. Nothing in these Terms grants you any license to use any Third-Party Mark. On Business Listings that have not yet been claimed, Hint It may display the business's name and, where available, logo solely to identify that business for purposes of the Service.

11.3 Hint It claims no ownership of any Third-Party Marks and expressly disclaims any and all liability that may result from the use or display of Third-Party Marks on the Service. The use or display of Third-Party Marks on the Service does not imply that Hint It is affiliated with or has received permission from the owners of such marks.

11.4 If you are the owner of a Third-Party Mark that appears on the Service and you believe that such appearance constitutes an infringement or other unauthorized use of your mark, please contact us about copyright. Hint It will investigate all good-faith inquiries regarding trademark rights and will take appropriate action, which may include removing or disabling the allegedly infringing content. You may also request removal of your business's listing entirely by contacting us about copyright. Requests involving widely recognized or nationally famous marks will be prioritized for review within one business day.

11.5 If you submit a notice claiming that content on the Service infringes your trademark rights, you represent and warrant that: (a) you are the owner of the trademark or are authorized to act on the owner's behalf; (b) the information in your notice is accurate; and (c) the use of your mark on the Service is not authorized by you, your agent, or applicable law.

11.6 Hint It reserves the right to remove or disable content that it determines, in its sole discretion, infringes or may infringe the trademark rights of others. Hint It also reserves the right to terminate the accounts of users who repeatedly infringe, or are alleged to repeatedly infringe, the trademark rights of others.

12. Modifications to the Service

Hint It may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice. We are not liable to you or any third party for any such change.

13. Privacy

Our Privacy Policy explains how we collect, use, and share information about you. It covers Business Listings practices and your California privacy rights. By using the Service, you agree to the collection, use, and sharing of information as described there.

14. Your Feedback About the Service

If you send us feedback, ideas, suggestions, or proposals about the Service ("Feedback"), you grant Hint It a non-confidential, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to use that Feedback for any purpose, without compensation to you. We are not obligated to implement or act on any Feedback.

15. Changes to These Terms

Hint It may update these Terms from time to time. When we do, we post the revised Terms on the Website and update the "Last Updated" date at the top of this document. For material changes, we will also notify you through the Mobile App. Continuing to use the Service after revised Terms are posted means you accept them. If you do not agree to the revised Terms, stop using the Service before they take effect.

16. Termination

Hint It may terminate or suspend your access to all or part of the Service at any time, with or without cause, effective immediately. To close your account, use the account settings in the Mobile App or contact support. We may also suspend your account if you submitted fraudulent Giveaway entries.

Provisions that by their nature survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Disclaimer of Warranties

In plain terms: the Service is provided as-is. We make no promises about uptime, accuracy, or fitness for any particular purpose.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HINT IT, ITS AFFILIATES, LICENSORS, SUPPLIERS, AND DISTRIBUTORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HINT IT DOES NOT WARRANT UNINTERRUPTED USE OR OPERATION OF THE SERVICE OR THAT ANY DATA SENT BY OR TO YOU WILL BE ACCURATE, COMPLETE, TRANSMITTED IN UNCORRUPTED FORM, OR TRANSMITTED WITHIN A REASONABLE AMOUNT OF TIME. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DELAY OR LOSS OF ANY KIND THAT RESULTS FROM YOUR ACCESS OR USE OF THE SERVICE, INCLUDING LOSS OF ANY DATA OR HARM TO YOUR MOBILE DEVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM HINT IT, THROUGH OR FROM THE SERVICE, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME STATES MAY PROHIBIT A DISCLAIMER OF WARRANTIES AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE.

18. Limitation of Liability

In plain terms: if something goes wrong with the Service, our total liability to you is capped at the greater of $10 or the fees you paid us in the past 12 months.

NEITHER HINT IT NOR ITS AFFILIATES, LICENSORS, SUPPLIERS, OR DISTRIBUTORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES EVEN IF ADVISED OF THE POSSIBILITY OF THESE DAMAGES, RESULTING FROM YOUR ACCESS OR USE OF THE SERVICE. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

EXCEPT AS OTHERWISE EXPRESSLY SET FORTH IN THESE TERMS, THE MAXIMUM TOTAL LIABILITY OF HINT IT, ITS AFFILIATES, LICENSORS, SUPPLIERS, AND DISTRIBUTORS TO YOU FOR ANY CLAIM RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS THE GREATER OF $10 OR THE AMOUNT YOU PAID TO HINT IT FOR THE SERVICE IN THE 12 MONTHS PRECEDING YOUR CLAIM. EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS UNDER THESE TERMS BETWEEN THE PARTIES. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

19. Indemnification

In plain terms: if your use of the Service causes Hint It to face a legal claim, you are responsible for covering our costs.

You will defend, indemnify, and hold Hint It, its affiliates, directors, officers, agents, employees, licensors, suppliers, and distributors harmless from any costs, damages, expenses, and liability caused by:

1. your use of the Service;
2. your violation of these Terms;
3. your violation of any rights of a third party through use of the Service; or
4. your submission of content that infringes any third party's rights of publicity or privacy.

20. Apple App Store Terms

The following additional terms apply if you download the Mobile App from the Apple App Store:

(a) These Terms are entered into between you and Hint It only. Apple, Inc. ("Apple") is not a party to these Terms and is not responsible for the Mobile App or its content.

(b) The license Hint It grants you to use the Mobile App under these Terms is limited to a non-transferable license to use the Mobile App on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple App Store Terms of Service.

(c) Hint It, and not Apple, is solely responsible for the Mobile App and its content. You acknowledge that Apple has no obligation to provide any maintenance or support services with respect to the Mobile App.

(d) In the event of any failure of the Mobile App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the Mobile App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Mobile App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms and any applicable law.

(e) Hint It, and not Apple, is responsible for addressing any claims you have or any claims of any third party relating to the Mobile App or your possession and use of the Mobile App, including but not limited to: (i) product liability claims; (ii) any claim that the Mobile App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

(f) In the event of any third-party claim that the Mobile App or your possession and use of the Mobile App infringes a third party's intellectual property rights, Hint It, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

(g) You represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.

(h) You must comply with applicable third-party terms of agreement when using the Mobile App.

(i) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

21. Google Play Terms

The following additional terms apply if you download the Mobile App from the Google Play Store:

(a) These Terms are entered into between you and Hint It only. Google LLC ("Google") is not a party to these Terms and has no responsibility for the Mobile App.

(b) Your use of the Mobile App must comply with the Google Play Developer Distribution Agreement in effect at the time of your use.

(c) Hint It, and not Google, is solely responsible for the Mobile App, its content, and for addressing any claims you have or any claims of any third party relating to the Mobile App or your possession and use of the Mobile App, including but not limited to: (i) product liability claims; (ii) any claim that the Mobile App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

(d) In the event of any third-party intellectual property infringement claim arising from your use of the Mobile App, Hint It, and not Google, is solely responsible for the investigation, defense, settlement, and discharge of that claim.

(e) Google LLC and its subsidiaries are intended third-party beneficiaries of these Terms with respect to your use of the Mobile App on the Android platform, and Google LLC will have the right to enforce these Terms against you as a third-party beneficiary.

22. Assignment

You may not assign these Terms or any of your rights or obligations under these Terms to any third party without the prior written consent of Hint It. Any purported assignment by you in violation of these Terms is void. Hint It may assign these Terms, in whole or in part, at any time without notice to you.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, excluding its conflict of law provisions. Any judicial proceedings arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction and exclusive venue of those courts.

24. Time Limit on Claims

YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE MUST COMMENCE WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, THAT CAUSE OF ACTION IS PERMANENTLY BARRED.

25. Waiver and Severability

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. If any provision is found to be invalid, illegal, or unenforceable, it will be limited or eliminated to the minimum extent necessary. The remaining provisions continue in full force and effect.

26. Consent to Electronic Communications

By using the Service, you consent to receiving electronic communications from Hint It. These communications may include notices about your account, transactions, and information about the Service. These electronic communications satisfy any legal requirement that such communications be in writing.
